Nutzungsbedingungen
Allgemeine Geschäftsbedingungen (AGB)
Stand: 24. Juli 2026
§ 1 Geltungsbereich

Terms of Use
General Terms and Conditions
Last updated: 24 July 2026
1. Scope
These terms apply to all contracts between wartenmitadana GmbH (the “Provider”) and its
customers regarding use of the wartenmitadana.ai software. The offering is directed exclusively at
businesses within the meaning of Section 14 of the German Civil Code (in particular medical
practices, medical care centres and comparable institutions), not at consumers.
2. Subject matter
The Provider makes wartenmitadana.ai available as web-based software (software-as-a-service) for managing
patient calling and – to the extent booked – the AI-assisted patient flow. The specific scope
of services follows from the selected plan or module description.
3. Conclusion of contract and registration
The contract is concluded when the Provider activates access or confirms the registration. The
customer must provide truthful information during registration and protect access credentials
from third-party access.
4. Money-back guarantee
The Provider grants a 30-day money-back guarantee: if the customer cancels within 30 days of the
start of the contract, the fees already paid are refunded in full.
5. Prices and payment
The prices shown at the time of booking apply, in each case plus statutory VAT. Billing is monthly
or annually in advance, as chosen. Add-on modules (e.g. AI Patient Flow) are shown separately.
6. Term and termination
The contract has a monthly term and may be terminated with 7 days’ notice to the end of the
respective term, unless otherwise agreed. For annual billing, the agreed minimum term applies.
Termination must be in text form.
7. Customer obligations
The customer is responsible for the lawful use of the software within its institution, in
particular for compliance with data protection requirements towards its patients. Where the
Provider processes personal data on the customer’s behalf, the parties conclude a data processing
agreement under Art. 28 GDPR.
8. Availability
The Provider strives for high availability of the service. Maintenance, force majeure and
disruptions outside the Provider’s control may lead to temporary restrictions.
9. Warranty and liability
The Provider is liable without limitation for intent and gross negligence, and for injury to life,
body or health. For slight negligence, the Provider is liable only for breach of a material
contractual obligation and limited in amount to the foreseeable damage typical for the contract.
Otherwise liability is excluded.
10. Changes to these terms
The Provider may amend these terms with effect for the future. The customer will be informed of
changes in text form; they are deemed accepted if the customer does not object within a reasonable
period and was informed of this consequence.
11. Final provisions
The law of the Federal Republic of Germany applies. If the customer is a merchant, a legal entity
under public law or a special fund under public law, the place of jurisdiction is the Provider’s
registered office. Should individual provisions be invalid, the validity of the remaining
provisions remains unaffected.
